Full Details of Job Post

Atomic is a venture studio that founds and funds companies. We bring ideas, capital, resources, and talent together— partnering with co-founders to build the best ideas into great companies.

As a Legal Project Administrator, you will support entrepreneurs in every step of their growth from the company formation process to securing outside investments. This person will bring a process-driven approach to maintaining and organizing company records, while learning all there is to know about corporate governance and company capitalization. Similar to working at a law firm, you’ll get the opportunity to work across a diverse portfolio of companies, but being at Atomic also uniquely positions you as an integral part of the internal team— it’s the best of both worlds.

If you live in the San Francisco Bay Area, we have a hybrid working model, where we currently go into the office 3x a week.

What You'll Do:

    • Coordinate corporate approvals, including drafting resolutions and consents; facilitate corporate governance and other corporate housekeeping matters.
    • Maintain the cap tables for each portfolio company using equity management tools (Carta).
    • Administer stock plans, including grant issuances and assisting with option exercises.
    • Handle corporate housekeeping tasks, including document filing, data organization and tracking of documents, including routing documents for signature and distribution.
    • Assist with contract review and coordination with outside counsel, including maintaining and reviewing NDA forms, employment agreements, and other legal templates.
    • Project management responsibilities across initiatives.
    • Shadow attorneys, founders and other Atomic insiders during their day-to-day to learn more about early stage startups and venture capital.

Who You Are:

    • 0-1+ years of experience in a fast paced office environment.
    • You are considering going to law school, but would like to learn more about the legal industry and gain some firsthand experience.
    • You have extremely high attention to detail in a rapidly changing environment.
    • Your planning, organizational and time management skills are unmatched. Your communication skills (both written and verbal) and interpersonal skills are excellent, and you feel comfortable interacting with anyone across the portfolio.
    • Highly motivated, proactive and willing to take initiative on day-to-day tasks and new challenges.
    • Ability to work effectively in a fast-paced environment.
    • You enjoy and have experience fielding a wide variety of questions about equity.
    • Experience using these tools is a plus: Carta, Airtable, DocuSign.
    • Preferably located on the West Coast (in Pacific Time).

What You'll Get:

    • Comprehensive health plans (medical, dental, vision).
    • Flexible Vacation Policy.
    • Off-sites, events and happy hours.
    • Opportunity to work with and learn from former big law attorneys and paralegals.
$70,000 - $90,000 a year
Salary is dependent on experience.
We are focused on building a diverse and inclusive workforce. If you’re excited about this role, but do not meet 100% of the qualifications listed above, we encourage you to apply.
